Monday, April 5th, 2021
Board Minutes, April 5, 2021 President Myers called the meeting to order at 6:32 PM Director’s present: John Myers, Lee Kerr, Ernie Sammons, Greg Elkins, Craig Vaughan, Randy Ballard, Stephanie Brock, Mike Lowery, Jim Fluty, Robbie Haney Meeting was opened with the Pledge of Allegiance. President John Myers lead prayer. The treasurer’s report was not ready for reading. Greg Elkins read the minutes from the March 1, 2021 meeting. Ernie Sammons motioned to approve the minutes as read. Craig Vaughn seconded the motion. John Myers – Yes Lee Kerr – Yes Ernie Sammons – Yes Craig Vaughan – Yes Randy Ballard – Yes Jim Fluty – Yes Robbie Haney – Yes Greg Elkins – Yes Stephanie Brock – Yes Mike Lowery – Yes Motion Passed 10 – 0. President Myers asked that the nomination of Johnathon Campbell for Director to replace Dewey Pope be removed from the table. John Myers – Yes Lee Kerr – Yes Ernie Sammons – Yes Craig Vaughan – Yes Randy Ballard – Yes Jim Fluty – Yes Robbie Haney – Yes Greg Elkins – Yes Stephanie Brock – No Mike Lowery – No Motion Passed 8 – 2 President Myers asked for nominations for Director to replace Wayne Joslin. Stephanie Brock nominated Tommy Cook John Myers – No Lee Kerr – No Ernie Sammons – No Craig Vaughan – No Randy Ballard – No Jim Fluty – Yes Robbie Haney – No Greg Elkins – No Stephanie Brock – Yes Mike Lowery – Yes Jonathon Campbell – No Motion failed 3 – 8. President Myers again asked for nominations for Director to replace Wayne Joslin. Lee Kerr nominated Todd Wilson. John Myers – Yes Lee Kerr – Yes Ernie Sammons – Yes Craig Vaughan – Yes Randy Ballard – Yes Jim Fluty – Yes Robbie Haney – Yes Greg Elkins – Yes Stephanie Brock – No Mike Lowery – No Jonathon Campbell – Yes Motion passed 9 – 2. Jim Fluty gave an update on the search for a new Caretaker. No action was taken. President Myers read a letter that was directed to the Clark County Fish and Game Club’s Board of Directors from an attorney on behalf of shareholder Tommy Cook. President Myers advised the Board of Directors that he had conducted a search for an attorney that would represent the Board of Directors in any current of future lawsuit filed by shareholder Tommy Cook. President Myers then requested there be a motion to direct him to officially hire an attorney to provide that representation for the Clark County Fish and Game Club, the Board of Directors and individual members of the Board of Directors. Craig Vaughn made the motion to give President Myers the authority to hire an attorney to deal with club issues and needs. Randy Ballard seconded. John Myers – Yes Lee Kerr – Yes Ernie Sammons – Yes Craig Vaughan – Yes Randy Ballard – Yes Jim Fluty – Yes Robbie Haney – Yes Greg Elkins – Yes Stephanie Brock – Yes Mike Lowery – Yes Jonathon Campbell – Yes Motion Passed 11 – 0. Lee Kerr made a motion that Tommy Cook be irrevocable expelled from the Clark County Fish and Game Club, Inc., effective April 5, 2021, for violating Club rules and Bylaws with respect to, but not limited to; Article XI, Section 2’s Social Media Directive and for disrupting the environment and management of the Club, its Board of Directors and its employees for nearly three (3) years. The motion further stated that the expulsion be extended to ban Mr. Tommy Cook from all club owned, leased or managed properties for life. Randy Ballard 2nd. Discussion ensued between directors and guests participating. The discussion went on for several minutes. John Myers – Yes Lee Kerr – Yes Ernie Sammons – Yes Craig Vaughan – Yes Randy Ballard – Yes Jim Fluty – Yes Robbie Haney – Yes Greg Elkins – Yes Stephanie Brock – No Mike Lowery – No Jonathon Campbell – Yes Motion Passed 9 – 2. Jim Fluty then announced his resignation from the Board of Directors. Mike Lowrey announced his resignation from the Board of Directors. President John Myers adjourned the meeting with no further action being taken. *On April 6th Jim Fluty withdrew his decision to resign from the board. He will continue to serve as a Director.* These minutes were amended by a motion by Lee Kerr, which passed on August 30th, to correct his motion to expel by adding the words for and life at the end of his motion to expel.
