Meeting minutes taken; reference March 1, 2021 meeting.
President Myers called the meeting to order at 6:30 PM
Directors present: John Myers, Lee Kerr, Ernie Sammons, Craig Vaughan, Randy Ballard, Stephanie Brock, Mike Lowery, Jim Fluty, Robbie Haney Craig Vaughan
Directors Absent Dewey Pope, Wayne Joslin.
Meeting was opened with prayer and pledge by President Myers
President called for a motion to accept the resignation of Director Dewey Pope
Motion by: Greg Elkins

President Myer called for candidates to replace vacated Director seat.
Greg Elkins nominated Jonathan Campbell.

The motion did not come to a vote, wasnt tabled, remains open.
President called for nominations for Secretary.
Ernie Sammons nominated Greg Elkins.
Second by: Craig Vaughan
Motion passed 7-3
Newly elected Secretary Greg Elkins took over at this point.
Ernie Sammons presented the Treasurers Report.
Ernie Sammons gave a line-by-line budget presentation. Discussion ensued.

Greg Elkins read the minutes from the January 4, 2021 meeting.
Craig Vaughn motioned to approve the minutes as read.

Lee Kerr gave a report of by-laws committee recommendations for changes to Article III, Section of the by-laws to:
Section 2. Number, Tenure and Qualifications.
The number of Directors of the Corporation shall be fixed at twelve (12) by the Board of Directors. In the event any director is unable to serve for any reason, the BoD may conduct business with a minimum of ten (10) directors until such time the BoD chooses to fill the vacancy not to exceed six (6) months. Each Director shall hold office until the annual meeting of shareholders at the end of his three (3) year term and until his successor shall have been elected to and qualified.

Lee Kerr gave a report of by-laws committee recommendations for the addition of a Social Media Policy.as follows:
Section 2. Social Media Directive
The Clark County Fish & Game Club, Inc. (referred herein as Club), respects the right of any shareholder to maintain a blog or website or to participate in social networking on or through websites or services such as Twitter, Facebook, or similar sites/services (collectively social media). However, to protect the Clubs interests and because shareholders individually may not necessarily share the views of the Club as a whole, Shareholders must adhere to the following rules:
a. When using social media, if a shareholder mentions the Club and also expresses either a political opinion or an opinion regarding the Clubs actions, the poster must specifically state that the opinion expressed is his/her personal opinion and not the Clubs position. This is necessary to preserve the Clubs goodwill.
b. Be respectful of potential readers and colleagues. Do not use discriminatory comments, or make maliciously false statements when commenting about the Club, shareholders, and/or members of the Board of Directors and/or the Board of Directors as a whole.
c. Shareholders may not use the Clubs logos or titles that express, imply or could be construed as a Club post.
d. Shareholders shall not maintain any social media site that could be construed, expressed or implied as the Clubs official social media site.
e. Any conduct which is impermissible under the law if expressed in any other form or forum is impermissible if expressed through social media. For example, posted material that is discriminatory, obscene, defamatory, libelous, threatening or implicating the Club of wrongdoing is forbidden.
The Club encourages all shareholders to keep in mind the speed and manner in which information posted through social media can be relayed (and often misunderstood) by readers. Shareholders must use their best judgment. Shareholders with any questions should review the aforementioned guidelines. When in doubt, do not post!
Failure to follow these guidelines shall result in discipline, up to and including suspension and or expulsion from the Club by majority vote of the Board of Directors. In enforcing this policy, the Club reserves the right to monitor social media activities of shareholders, to the extent permitted by and in accordance with applicable laws.

Jim Fluty gave update on new Caretaker search.
Mike Lowrey began a discussion concerning a Comprehensive Audit for past several years. He expressed his desire to see one performed. It was stated that an estimate had been given costing the club $13,000. There was a motion to have the audit conducted.

Discussion on resuming in-person club meetings. The thought is that it isnt time yet.

Robbie Haney gave a report on fish feeders

Discussion on goose nesting boxes construction and placement. Several volunteered to help.
No action taken.
Discussion on Youth Fish Day. The board decided not to set a date for the Spring but hoped maybe the Covid situation would be better in the Fall.
No action taken.
Member Tommy Cook was given the opportunity to appeal his suspension. Discussion followed that the suspension be rescinded. It was asked several times by President Myers if Mr. Cook would agree to cease the activities that created the reason for the suspension. Mr. Cook advised that he would not make that agreement. There was a motion to rescind the suspension.
